VendWave Terms of Service

1. Agreement to Terms

By creating a VendWave account or using any part of our service you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms do not use VendWave.

These Terms constitute a legally binding agreement between you ("you", "vendor", or "user") and VendWave ("we", "us", or "our") governing your use of the VendWave platform available at vendwave.app and via WhatsApp.

2. Description of Service

VendWave is a business management platform that enables small vendors and business owners to:

  • Log sales and track transactions via WhatsApp and a web portal
  • Generate professional invoices and receipts
  • Manage customer records and outstanding balances
  • Track inventory and receive low stock alerts
  • Add team members who can log sales via WhatsApp
  • View business analytics and export financial reports

The service is provided as a software-as-a-service (SaaS) platform on a subscription basis.

3. Eligibility

You must be at least 18 years old to use VendWave. By using VendWave you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

VendWave is intended for use by individuals operating legitimate businesses. You must not use VendWave for any unlawful purpose.

4. Account Registration

4.1 Account Creation

To use VendWave you must create an account by providing your name, business name, email address, WhatsApp number, and a password. You agree to provide accurate and complete information.

4.2 Account Security

You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account. You must notify us immediately at support@vendwave.app if you suspect any unauthorised access to your account.

4.3 One Account Per Business

Each business may only maintain one VendWave account. Creating multiple accounts to circumvent subscription limits or trial periods is prohibited.

4.4 WhatsApp Connection

To use the WhatsApp features you must connect a valid WhatsApp number to your account. You represent that you are the authorised user of the WhatsApp number you connect.

5. Free Trial

5.1 Trial Period

New accounts receive a 14-day free trial with full access to all features. No credit card is required to start the trial.

5.2 Trial Limitations

One free trial per business. Creating additional accounts to access additional trial periods is a violation of these Terms.

5.3 After the Trial

At the end of your trial period your account will be paused. You will retain read-only access to your data but will not be able to log new transactions, create invoices, or use the WhatsApp assistant until you subscribe to a paid plan.

5.4 Discount Codes

Discount codes may be applied at the time of subscription. Discount codes are subject to their individual terms including expiry dates and usage limits. Codes cannot be applied retroactively to past payments.

6. Subscription and Payment

6.1 Plans

VendWave offers two subscription plans:

Solo — ₦7,500 per month

For individual vendors with no team members.

Business — ₦12,500 per month

For vendors who need to add team members who log sales via WhatsApp.

6.2 Billing

Subscriptions are billed monthly. Payment is processed through Paystack. By subscribing you authorise Paystack to charge your payment method on a recurring monthly basis.

6.3 Price Changes

We may change our subscription prices with 30 days notice. Notice will be given via WhatsApp message and email. Continued use of VendWave after a price change constitutes acceptance of the new price.

6.4 Failed Payments

If a payment fails your account will enter a grace period of 3 days. If payment is not received within the grace period your account will be paused. You will not lose your data but write access will be restricted until payment is received.

6.5 Refund Policy

We offer a 7-day refund on your first payment if you are not satisfied with VendWave. To request a refund contact support@vendwave.app within 7 days of your first payment. Refunds are not available after 7 days or on subsequent payments.

6.6 Referral Discounts

If you refer other vendors to VendWave and they become paying subscribers you may earn a discount on your next payment. Referral discounts are calculated based on conversions in the current calendar month. Discounts do not carry over to future months if no referrals convert. VendWave reserves the right to modify or discontinue the referral programme at any time.

7. Acceptable Use

7.1 Permitted Use

You may use VendWave only for lawful business purposes — logging legitimate sales, creating genuine invoices, and managing your real business data.

7.2 Prohibited Use

You must not use VendWave to:

  • Record fraudulent transactions or create false invoices
  • Facilitate money laundering or any illegal financial activity
  • Harass, threaten, or abuse other users or third parties
  • Attempt to gain unauthorised access to VendWave systems
  • Reverse engineer, decompile, or disassemble any part of the service
  • Create multiple accounts to circumvent subscription limits or trial periods
  • Use the WhatsApp assistant to send spam or unsolicited messages
  • Violate any applicable Nigerian or international law or regulation

Violation of these prohibitions may result in immediate account termination without refund.

8. Team Members

8.1 Adding Team Members

Business plan subscribers may add up to 5 team members. You are responsible for all activity carried out by your team members on your VendWave account.

8.2 Team Member Responsibilities

By adding a team member you confirm that you have their consent to add their WhatsApp number to VendWave and that they are aware their activity will be tracked and visible to you as the account owner.

8.3 Removing Team Members

You may remove team members at any time. Removal prevents future WhatsApp access but does not delete their historical transaction records.

8.4 Downgrade Restrictions

You may not downgrade from Business to Solo while you have active team members. You must remove all team members before downgrading.

9. Your Business Data

9.1 Ownership

You own all business data you enter into VendWave — your customer records, transactions, invoices, and inventory data. We claim no ownership over your business data.

9.2 Your Customers' Data

You are responsible for ensuring you have the appropriate rights and permissions to store your customers' personal information in VendWave. You indemnify us against any claims arising from your customers' data.

9.3 Data Export

You may export your data at any time in CSV and PDF formats from your dashboard. We encourage you to export your data regularly.

9.4 Data After Cancellation

If your account is cancelled your data remains accessible in read-only mode for 30 days. After 30 days your data will be permanently deleted. We recommend exporting your data before cancellation.

10. Intellectual Property

10.1 Our Property

VendWave and all its content — including the software, design, trademarks, and materials — are owned by us and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

10.2 Your Content

You grant us a limited licence to use, store, and process your business data solely for the purpose of providing the VendWave service to you.

10.3 Feedback

If you provide feedback or suggestions about VendWave we may use this feedback without any obligation to compensate you.

11. Third Party Services

VendWave integrates with third party services including WhatsApp (via Twilio), Anthropic Claude AI, Paystack, and Cloudinary. Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the practices of these third party services.

The WhatsApp service is provided by Meta Platforms Inc. VendWave is not affiliated with, endorsed by, or sponsored by Meta or WhatsApp.

12. Service Availability

12.1 Uptime

We aim to maintain high availability of the VendWave service but we do not guarantee uninterrupted access. The service may be unavailable due to maintenance, technical issues, or circumstances beyond our control.

12.2 Maintenance

We may perform scheduled maintenance that temporarily affects service availability. Where possible we will provide advance notice via WhatsApp or email.

12.3 WhatsApp Dependency

The WhatsApp features of VendWave depend on the WhatsApp Business API and are subject to Meta's policies and availability. We are not responsible for any limitations or changes imposed by Meta on the WhatsApp Business API.

13. Limitation of Liability

To the maximum extent permitted by Nigerian law:

  • VendWave is provided "as is" without warranties of any kind
  • We do not warrant that the service will be error-free or uninterrupted
  • We are not liable for any loss of business, loss of profits, loss of data, or any indirect or consequential loss arising from your use of VendWave
  • Our total liability to you for any claim arising from your use of VendWave is limited to the amount you paid us in the 3 months preceding the claim

Nothing in these Terms excludes liability for death or personal injury caused by our negligence or for fraud.

14. Indemnification

You agree to indemnify and hold us harmless from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from:

  • Your use of VendWave
  • Your violation of these Terms
  • Your violation of any third party rights including your customers' data rights
  • Any content or data you submit to VendWave

15. Termination

15.1 Termination by You

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. You will not receive a refund for the remaining days of your current billing period unless you are within the 7-day refund window.

15.2 Termination by Us

We may suspend or terminate your account immediately if:

  • You violate these Terms
  • Your account is used for fraudulent or illegal activity
  • We are required to do so by law

We will provide notice where reasonably possible before termination unless immediate action is required.

15.3 Effect of Termination

Upon termination your access to VendWave will cease. Your data will be retained for 30 days then permanently deleted. You should export your data before terminating your account.

16. Account Deletion

You may request permanent deletion of your account and all associated data from the settings page. Upon deletion request:

  • Your account is immediately paused and write access removed
  • All your data is soft deleted — made inaccessible
  • Your data is permanently and irreversibly deleted 30 days after the request
  • You may cancel the deletion request within the 30-day window
  • After permanent deletion we cannot recover your data

17. Governing Law and Disputes

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes arising from these Terms or your use of VendWave will be subject to the exclusive jurisdiction of the Nigerian courts.

We encourage you to contact us at support@vendwave.app before initiating any legal proceedings. We will make every effort to resolve disputes informally.

18. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via:

  • A WhatsApp message to your registered number
  • An email to your registered address
  • A prominent notice in the portal

Changes take effect 14 days after notification. Continued use of VendWave after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the updated Terms you must stop using VendWave and may request a prorated refund for the unused portion of your current billing period.

19. Miscellaneous

19.1 Entire Agreement

These Terms together with our Privacy Policy constitute the entire agreement between you and VendWave regarding the service.

19.2 Severability

If any provision of these Terms is found to be unenforceable the remaining provisions will continue in full force and effect.

19.3 No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future.

19.4 Assignment

You may not assign your rights or obligations under these Terms without our written consent. We may assign our rights to a successor in the event of a merger, acquisition, or sale of assets.
